Terms of Service

Partnership and Agency: Nothing in these Terms of Service is intended to, or shall be deemed to, establish any partnership or joint venture between you and us, constitute either party as the agent of the other party, nor does it authorise either party to make or enter into any commitments for or on behalf of the other party.

Force Majeure: We shall not be liable for any delay or failure to perform any of our obligations under these Terms of Service if such delay or failure results from events or circumstances outside our reasonable control. This includes, but is not limited to, acts of God, natural disasters, strikes, lockouts, accidents, war, fire, or the disruption of civil order.

Entire Agreement: These Terms of Service, along with any applicable service agreements or proposals, constitute the entire agreement between you and us, superseding all prior agreements, communications, and understandings, whether written or oral, relating to its subject matter.

Precedence: In the event of any conflict between these Terms of Service and the terms of any service agreements or proposals, the latter documents shall prevail.

Reliance: You acknowledge that in agreeing to these Terms, you do not rely on any statement, representation, assurance, or warranty that is not set out in these Terms.

Variation: No variation of these Terms shall be effective unless it is in writing and signed by both parties.

Assignment: Neither party may assign, transfer, subcontract, or deal in any other manner with any of its rights and obligations under these Terms without the prior written consent of the other party.

Waiver: No failure or delay by either party in exercising any right under these Terms shall constitute a waiver of that right.

Severability: If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be deemed deleted without affecting the remainder of these Terms.

Notices: Any notices or other communications required under these Terms shall be in writing and will be effective upon receipt by the parties.

Third-Party Rights: No one other than a party to these Terms shall have any right to enforce any of its terms.

Governing Law and Jurisdiction: These Terms shall be governed by and construed in accordance with the laws of England and Wales. Both parties agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes.
